These Terms & Conditions (the "Terms," "Agreement," or "T&C") are a binding legal agreement between ToKForce a Texas company doing business as ToKForce ("Provider," "we," "us," or "our"), and you ("Client," "you," or "your").
By completing checkout, clicking "I agree," registering for an account, or using any Services, you agree to these Terms.
1. Acceptance
By purchasing or using any ToKForce services—including AI marketing, SEO, GEO, automation, CRM systems, voice AI, and related offerings—you agree to be bound by this Agreement.
You confirm:

You have authority to bind your business
You comply with all applicable laws
2. Changes to Terms
We may update these Terms at any time. Continued use of Services means you accept the updated Terms.
3. Services
ToKForce provides services including but not limited to:
AI Search Visibility (ChatGPT, Gemini, etc.)
SEO / GEO / “Near Me” Optimization
Google Ads & PPC
CRM & automation systems
AI Voice Agents & Chatbots
Marketing analytics & dashboards
Services are delivered directly or via partners.
4. Accounts & Access
You are responsible for:
Login credentials
Providing access to systems (website, ads, CRM, etc.)
All activity under your account
Failure to provide access may delay results.
5. Subscription Terms
Standard term: 12 months, then month-to-month
Auto-renewal applies unless canceled
30-day notice required for cancellation
6. Payment & Billing
By purchasing, you authorize ToKForce to charge your payment method.
Includes:
Setup fees
Monthly subscriptions
Usage or overage fees
Late payments may result in:
Service suspension
Interest charges (1% per month)
Collections actions
7. No Refund Policy
ALL PAYMENTS ARE FINAL AND NON-REFUNDABLE.
This includes:
Setup fees
Subscriptions
AI services
Marketing services
Chargebacks are considered a breach of this Agreement.
8. Cancellation
Requires 30 days written notice
No refunds for prior payments
You remain responsible for outstanding charges
9. Communications
You agree to receive:
Emails
Calls (including AI-assisted)
SMS messages
You are responsible for obtaining consent from your customers where required.
10. Data & Privacy
We may collect and use data to:
Deliver services
Improve systems
Train AI models (in anonymized form)
You are responsible for compliance with:
GDPR
CCPA
TCPA
Other applicable laws
11. AI & Service Data License
You grant ToKForce the right to use anonymized data to:
Improve AI systems
Train models
Analyze performance
12. Third-Party Platforms
We integrate with platforms such as:
Google
Meta
OpenAI
Advertising networks
We are not responsible for:
Account suspensions
Ranking changes
Platform decisions
13. Prohibited Use
You may not use Services to:
Violate laws
Send spam
Mislead users
Distribute harmful content
14. Intellectual Property
All ToKForce systems, software, and processes remain our property.
You receive a limited license to use Services, not ownership.
15. Disclaimer of Warranties
All Services are provided “AS IS.”
We do NOT guarantee:
Rankings
Leads
Revenue
ROI
Results vary based on many external factors.
16. Limitation of Liability
ToKForce is not liable for:
Lost revenue
Lost data
Business interruptions
Maximum liability = amount paid in last 12 months
17. Indemnification
You agree to protect ToKForce from claims related to:
Your business
Your content
Your marketing practices
18. No Guarantee of Results
We do not guarantee:
SEO rankings
AI visibility
Ad performance
Lead volume
19. Communications Compliance
You are responsible for compliance with:
TCPA
CAN-SPAM
SMS regulations
20. AI Voice & Automation Disclaimer
AI systems may:
Make errors
Provide incorrect responses
You are responsible for:
Scripts
Outputs
Legal compliance
21. Dispute Resolution
All disputes are resolved via:
Binding Arbitration (JAMS)
No class actions
No jury trials

22. Governing Law
These Terms are governed by the laws of the State of Texas, USA.
